• Search Engine Optimization (SEO): Improving organic search visibility and website traffic through on-page, technical, and local maps optimization.
• Digital Advertising Campaigns: Setting up and managing advertising campaigns across search engines and social platforms, including Google Ads and Meta Ads, to drive qualified leads.
• AI Automations & Chatbots: Custom engineering AI chatbot systems and automated workflows to streamline operations and increase lead capture.

The specific scope of work, timeline, deliverables, and service fees for each engagement will be detailed in a separate Service Agreement or Proposal signed by both parties.

2. Collaborative Partnerships

Great results require a collaborative effort. To keep projects running smoothly and maintain high standards of quality, you agree to:

• Provide clear, accurate, and timely project details, copy, media assets, and access credentials.
• Assign a primary contact person who can coordinate prompt decisions and give cohesive feedback.
• Ensure all brand assets and materials you send us do not infringe on any third-party copyrights or intellectual property rights.
• Avoid using our custom deliverables or systems for any deceptive, illegal, or harmful activities.

Because we allocate our resources based on mutual momentum, Eternity Media cannot be held responsible for project delays caused by late feedback, missing client materials, or extended periods of silence.

3. Payment Terms and Financial Understandings

To keep our team focused and project timelines intact, we use the following payment guidelines:

• Currency: All fees are calculated and quoted in Indian Rupees (INR) unless we agree otherwise in writing.
• Deposits & Milestones: For project-based work, we require a 50% deposit before design or development starts. The remaining balance is due upon project completion or as outlined in our milestones.
• Retainers: For monthly services like SEO support, social media management, or systems monitoring, billing is handled in advance at the start of each service cycle.
• Grace Periods: We provide a 14-day grace period from the invoice issue date. Invoices left unpaid after this period may be subject to a late fee of 2% per month on the unpaid balance.
• Taxes: Project fees are quoted exclusive of statutory taxes (such as GST), which will be itemized and added to invoices.
• Release of Assets: We deliver final custom code, graphic design source files, domain transfers, and active accounts once all outstanding payments have been settled in full.

4. Cancellation and Refunds

We understand that business directions can pivot and priorities can change.

• Notice Period: Either party can end an active monthly retainer or service contract by providing a 30-day written notice.
• Accrued Fees: If services are cancelled, the client agrees to pay for all completed milestones and hours worked up to the termination date.
• Deposits: Because design, development, and scheduling resources are committed immediately upon signup, project deposits are non-refundable once work has officially begun.
• Suspension: Eternity Media reserves the right to temporarily pause services or terminate contracts if a client defaults on payment, violates these Terms, or displays abusive behavior towards our team members.

5. Creative Rights and Ownership

We value clear ownership structures and protect creative rights.

• Your Assets: You retain complete and exclusive ownership of all logos, text, brand media, and customer data you share with us.
• Completed Work: Once payment is settled in full, the exclusive ownership of final custom website code, design graphics, and marketing assets transfers entirely to you.
• Unpaid Deliverables: All draft designs, preliminary concepts, and custom codebase structures remain the property of Eternity Media until full payment is received.
• Methodologies: Eternity Media retains ownership of pre-existing development frameworks, standard code templates, libraries, and design methods used to construct your project.
• Case Studies: We love sharing the success of our clients. Unless we have signed a specific Non-Disclosure Agreement (NDA), we reserve the right to display project screenshots, live preview links, and summaries in our digital portfolio and case studies.

6. Marketing and Digital Ads Disclaimer

We optimize all SEO strategies and digital ad campaigns to the highest industry standards. However:

• External Dynamics: Search engine rankings, conversion rates, and sales numbers depend heavily on market competition, search engine updates, and consumer trends. We cannot guarantee specific sales figures or target ranks.
• Platform Regulations: Eternity Media is not liable for changes in ad policies, account suspensions, or algorithmic updates implemented by third-party channels (including Google, Meta, or search networks).

7. Limitation of Liability

While we deliver our services with utmost care, digital platforms are complex.

• Best-Efforts basis: Our website, designs, custom integrations, and AI automations are provided on a best-efforts basis without warranties of any kind.
• Direct Damages: Eternity Media will not be liable for any indirect, special, or consequential damages (including lost profits, server downtime, or data loss).
• Liability Limit: In any event, our total collective liability for any claim under these terms will be limited to the total fees you paid to Eternity Media in the three months prior to the event that caused the claim.

8. Confidentiality

Mutual trust is vital. Both parties agree to protect and keep confidential all sensitive business details, marketing strategies, system access keys, and technical processes shared during our collaboration. This commitment continues even after the services have been successfully completed.

9. Governing Law and Disputes

These Terms and Conditions are governed by the laws of India, including the Information Technology Act, 2000. Any dispute, difference, or claim arising from our services will be subject to the exclusive jurisdiction of the competent courts in India. Both parties agree to try to resolve any disagreements through friendly, good-faith discussion before seeking formal legal channels.
